About Us

 

Chapter 3 Digital Ltd is a creative digital marketing agency registered in England & Wales (Company No. 13798102). By working with us, you agree to these Terms of Service.

 

Our Services

We provide digital marketing, website design, SEO, social media management, paid advertising, email marketing, and related creative services. Specific services and fees will be agreed with you in advance.

 

Your Responsibilities

You must provide us with the information, access, and approvals we reasonably need to deliver your project. Delays caused by missing information or approvals are not our responsibility.

 

Fees & Payment 

Invoices are issued in advance and payable within 7 days. Ad spend is billed separately through your ad account. Late payments may incur interest at 5% above the Bank of England base rate.

 

Use of Licensed Assets 

Some imagery, graphics, music, or design elements in your project may be sourced from Canva Pro under Chapter 3 Digital’s subscription. These assets remain the property of Canva and/or its licensors and are licensed to you only as incorporated into the final design we deliver. You may use the finished work for its intended business purposes (e.g., website, social media, print, or video) but you may not extract, resell, alter, or reuse Canva Pro content separately, nor use it in logos or trademarks. If you require additional use beyond the agreed project scope, you must obtain your own Canva Pro licence or request new work from us. Chapter 3 Digital is not responsible for any misuse of Canva Pro assets outside the agreed scope, and you agree to indemnify us against any claims arising from such misuse.

 

Liability, Indemnity & Insurance 

We aim to deliver high-quality services, but we cannot guarantee specific results or timescales.  

Chapter 3 Digital will not be liable for any indirect, special or consequential loss or damage suffered by you in relation to the service. Nothing in our agreement shall limit or exclude Chapter 3 Digital’s liability for death or personal injury.

Chapter 3 Digital’s total liability for any loss or damage caused as a result of its negligence or breach of your Agreement shall be limited to the value of the Fees paid by you from the Commencement Date. Chapter 3 Digital will not be liable for any delays in the Services. You understand and agree that the nature of the Services means that timescales cannot be guaranteed, and often relies on information being provided by you.

As part of the Services, Chapter 3 Digital works alongside third parties. Chapter 3 Digital will not be liable for any indirect, special or consequential loss as a result of any acts or omissions of such third parties.

 

Confidentiality & Data Protection 

Each Party undertakes that, except as authorised in writing by the other Party, it shall, at all times during the continuance of the Agreement and for 2 years after its termination keep confidential all confidential information in relation to the other Party. This includes, but is not limited to, the processes, procedures, methodologies, trade secrets, passwords and login details of the Parties.

The provisions of this shall continue in force in accordance with their terms, notwithstanding the termination of their Agreement for any reason.

Termination

Ongoing retainers may be ended by giving two months’ written notice, unless otherwise agreed for fixed-term projects. We may also terminate services with written notice.

 

Force Majeure

No Party to this Agreement shall be liable for any failure or delay in performing their obligations where such failure or delay results from any cause that is beyond the reasonable control of that Party.  Such causes include, but are not limited to: power failure, internet service provider failure, industrial action, civil unrest, fire, flood, storms, earthquakes, acts of terrorism, acts of war, governmental action or any other event that is beyond the control of the Party in question.

 

Governing Law

These Terms are governed by the laws of England and Wales, and disputes will be resolved in its courts.
